Terms of Service

1. Acceptance of terms

By accessing or using the Agent Ledger API, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is intended exclusively for use by businesses and professionals ("B2B"). If you are acting on behalf of a company, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not use the Service.

2. Description of service

Agent Ledger is a compliance tooling platform that provides:

• AI agent registration and algorithmic risk classification
• Decision audit logging infrastructure
• EU AI Act risk scanning (informational only)
• REST API access for programmatic integration

The Service is a tool to support your internal compliance efforts. It does not replace legal advice, certified compliance audits, or formal regulatory assessment.

3. Beta status and service changes

The Service is in early access ("beta"). During this phase:

• Features may be added, changed, or removed without prior notice
• Pricing may change; we will provide at least 14 days' notice before price increases affect active subscriptions
• Service availability is provided on a best-effort basis with no uptime guarantee
• Data formats and API responses may change

We reserve the right to discontinue the Service at any time. In the event of discontinuation, we will provide at least 30 days' notice and a pro-rated refund of any prepaid amounts.

4. Accounts and API keys

You must provide accurate information when registering. You are responsible for maintaining the security of your API keys. All activity under your account is your responsibility. Notify us immediately at hello@agentledgerhq.com if you suspect unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable use

You may not use the Service to:

• Violate any applicable law or regulation
• Submit personal data of individuals beyond what is strictly necessary for the Service
• Attempt unauthorised access to the Service or its underlying infrastructure
• Reverse engineer, copy, or create derivative works of the Service
• Resell or sublicense the Service to third parties without prior written consent
• Build a product or service that directly competes with Agent Ledger using access to our Service
• Send automated requests at a volume that disrupts the Service

6. No compliance guarantee

Agent Ledger risk scores and EU AI Act classifications are generated algorithmically based solely on the information you provide. They reflect our best interpretation at the time of generation and may not be complete, accurate, or current.

Use of Agent Ledger does not guarantee, certify, or demonstrate legal compliance with the EU AI Act, ISO 42001, SOC 2, GDPR, or any other law or standard. You are solely responsible for your regulatory compliance. Agent Ledger expressly disclaims any liability arising from your reliance on the Service for compliance purposes.

7. Data and privacy

You retain ownership of data you submit ("Customer Data"). You grant Agent Ledger a limited licence to process Customer Data solely to provide the Service. Do not submit special categories of personal data or data that you are not authorised to process. See our Privacy Policy for full details.

8. Payment and billing

Paid plans are billed monthly through our payment processor. Prices are in euros (EUR), exclusive of VAT. VAT is applied based on your billing country in accordance with EU regulations. Subscriptions renew automatically unless cancelled. See our Refund Policy for details on cancellations and refunds.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• AGENTLEDGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
• AGENTLEDGER SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR RELIANCE ON THE SERVICE FOR REGULATORY COMPLIANCE PURPOSES
• AGENTLEDGER SHALL NOT BE LIABLE FOR REGULATORY FINES, PENALTIES, OR SANCTIONS IMPOSED ON YOU BY ANY AUTHORITY
• OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO AGENTLEDGER IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM

Some jurisdictions do not allow certain liability limitations. In such cases, liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Agent Ledger and its operators from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any data you submit to the Service.

12. Intellectual property

The Service, including all software, interfaces, algorithms, and content, is owned by Agent Ledger and protected by applicable intellectual property laws. These Terms do not transfer any ownership or licence rights beyond what is strictly necessary to use the Service.

13. Governing law and disputes

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands. You waive any objection to jurisdiction or venue in such courts.

14. Changes to these terms

We may update these Terms at any time. For material changes, we will provide at least 14 days' notice via email or through the Service. Continued use after the effective date constitutes acceptance. For changes to limitation of liability or warranty disclaimers, we will provide at least 30 days' notice.

15. Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Agent Ledger regarding the Service.
